Welcome to Service Platform ("we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website https://serviceplatform.com, software systems, hosted platforms, subscription-based services, and any related products or services provided by Service Platform. By using our services, you enter into a legally binding agreement with us.

1. Acceptance of Terms

By accessing, registering, purchasing, subscribing to, or using any of our services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must immediately discontinue use of all services.

2. Service Overview

Service Platform provides software solutions and technical services, which may include hosted platforms, subscription-based systems, custom-developed solutions, and enterprise systems such as LMS, SIS, ERP, and Odoo-based platforms. Services are offered under the following models:

  • Subscription / Rental (SaaS): Systems are hosted and managed by us. Clients receive a non-transferable right to use the service only. Source code ownership remains exclusively with us.
  • Purchase Without Source Code: The client receives a deployed system without access to internal source code. Certain administrative or advanced features may be restricted to protect intellectual property.
  • Purchase With Source Code: Source code access is granted strictly according to a written agreement. Ownership is limited to the agreed scope, and general components, frameworks, and reusable modules remain our property.

3. User Responsibilities

Users agree to comply with all applicable laws and to use our services responsibly. Specifically, users must:

  • Provide accurate, complete, and up-to-date information for registration, billing, and communication.
  • Maintain the confidentiality of login credentials and be fully responsible for all activities under their account.
  • Use the systems only for lawful and intended purposes and avoid misuse, abuse, or excessive consumption of resources.
  • Not attempt to copy, resell, sublicense, redistribute, reverse engineer, decompile, or gain unauthorized access to any part of the system.

4. Intellectual Property and Licensing

All software, source code, system architecture, databases, designs, interfaces, workflows, and documentation are the exclusive intellectual property of Service Platform unless otherwise stated in writing. Except where explicitly permitted, no rights are granted to copy, modify, resell, or redistribute any part of the system.

5. Feature Availability and Restrictions

Feature availability varies by service model and subscription plan. We reserve the right to enable, disable, limit, or modify features at any time for technical, security, operational, or business reasons without liability.

6. Payments, Hosting, and Resource Usage

All fees must be paid according to the agreed billing cycle. Hosted services are subject to defined resource limits (including CPU, memory, storage, and bandwidth). Exceeding allocated resources may result in additional charges, service throttling, suspension, or required plan upgrades. No refunds are issued for partial usage or non-payment interruptions unless explicitly stated.

7. Data Ownership, Backups, and Security

Client data remains the property of the client. While we implement reasonable security and backup practices, backups are provided on a best-effort basis and are not guaranteed. We are not liable for data loss caused by factors beyond our reasonable control.

8. Limitation of Liability

To the maximum extent permitted by law, Service Platform shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, business interruption, or data loss. Our total liability shall not exceed the amount paid by the client for the service during the three (3) months preceding the claim.

9. Modifications to These Terms

We may revise these Terms at any time. Updates become effective once published with a revised "Last updated" date. Continued use of the services constitutes acceptance of the modified Terms.

10. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the applicable jurisdiction in which :company operates, without regard to conflict of law principles.
